The terms and conditions set forth herein (the “Terms of Use”) is a legal agreement between The Carefinder Group, a S-corp ("Caresquare.com") and you ("User" or “you” or “your”) and sets forth the terms and conditions governing your access to, and use of, the Caresquare.com Web Site (the “Site”) and any services offered on the Site. If you do not agree with any of these terms, do not access or otherwise use the Site or the services. Your use of the Site or the services available from the Site shall be deemed to be your agreement to abide by each of the terms set forth herein.

You further agree that Caresquare.com and its licensors may make changes to the services offered on the Site or to these Terms of Use. You agree that your continued use of the Site and/or the services after such modifications have been posted constitutes your acceptance of such changes, whether or not you have reviewed them. You should check the Terms of Use posted on the Site periodically for updates and changes.

Caresquare.com
Caresquare.com is a communications platform enabling the connection between individuals seeking childcare, healthcare and other service providers (“Care Seekers”) and/or childcare, healthcare and other service providers seeking to provide such services (“Care Providers”) within the United States.

Transactions between Users on the Site
Care Seekers may seek and schedule the services of a Care Provider through the use of the Site, and Care Providers may submit proposals to Care Seekers regarding their services. If there are any issues concerning advice and/or service received by Care Seekers or payment due to Care Providers, Care Seekers must deal directly with Care Providers, and Care Providers must deal directly with Care Seekers to resolve any disputes or issues. Caresquare.com will not be held responsible and expressly disclaims any liability whatsoever for any claims and/or controversies that may arise for any disputes between any Users, as set forth in the General Release below. You as a User do hereby represent, understand and expressly agree that Caresquare.com does not have control over the quality, timing, legality or any other aspect whatsoever of the services actually delivered by the Care Providers, nor of the integrity, responsibility, financial obligations, or any of the actions whatsoever of the Care Seekers.

Community Areas
The Site contains “Public Question” areas, chat areas, news groups, forums, communities and/or other message or communication facilities (“Community Areas”). You do hereby expressly represent, understand and agree to use such Community Areas only to send and receive messages and material that are relevant and proper to your use of the Site. Any usage of the Site by you that Caresquare.com finds inappropriate and/or offensive may result in immediate suspension or revocation of the privilege to use this Site. Caresquare.com reserves the right to revoke or suspend the privilege of any User to use this Site at any time and at its sole discretion whether for any reason or no reason at all. You do hereby represent, understand, and expressly agree to the terms set forth herein.

Capacity
You represent that you are of a legal age and have the legal capacity to agree to the Terms of Use set forth herein. In addition, you represent that you are either (i) a United States citizen or (ii) an individual who is legally in the jurisdiction of the United States and, if you are a Care Provider, you additionally represent that you may legally work within the United States.

Account Information
You hereby agree to be the sole, authorized user of your account and to have sole liability for any information you submit to the Site. Should you authorize, permit or facilite the use by any third party use of your account, you hereby agree to supervise all usage thereof and to be responsible for such third party‣s use of the Site. Caresquare.com has no control over the use of any User's account and expressly disclaims any liability derived therefrom. Should you suspect that any unauthorized party is using your account, you do hereby agree to contact Caresquare.com immediately, as set forth in the General Release below.

Links on Site
Links from Caresquare.com to other sites on the web do not constitute the endorsement of Caresquare.com and Users who link to such sites use them at the User‣s own risk. These links are provided as an information service only. Caresquare.com does not control such linked web sites, and is not responsible for their content. You further acknowledge that use of any linked web site controlled, owned or operated by third parties is governed by the terms and conditions of use for those web sites, and not by Caresquare.com's Terms of Use or Privacy Policy. You do hereby agree to hold Caresquare.com harmless from any liability that may result from your use of linked web sites that may appear on the Site.

Prohibited Use
The Site and services contained herein are intended to be used by Care Seekers to find, select and connect with Care Providers for the purpose of receiving services. The Site and related services may not be used by any User to recruit, solicit, or contact in any form Care Seekers or Care Providers for employment or for soliciting for any business, organization, or person for a business not affiliated with Caresquare.com without express written permission from Caresquare.com. Should Caresquare.com find that you violate the terms of this Paragraph, Caresquare.com reserves the right to terminate your use of this Site at its sole discretion immediately.

Fees and Payment Policy; Background Check Services
Caresquare.com's base level services are free to everyone. The Site is currently in betaCare seekers and Care Providers can order a background check which will be performed by a third-party service provider. Charges will be incurred for new background checks only when the person being checked approves the order for the check and the check is actually performed. Charges for viewing an existing check will be incurred only after the person being checked has approved display of results. In the case that a background check is requested but the person being checked does not approve, no charges will be incurred. There are no refunds on a background check once it has been performed. In most cases, results of background checks will be delivered within 72 hours of approval. At Caresquare's sole discretion, refunds or credits may granted in extenuating circumstances or to correct any errors made by Caresquare. While Caresquare.com will endeavor to ensure the privacy of all credit card and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties as set forth in the General Release below. User does hereby agree to hold Caresquare.com harmless for any damages that may result therefrom. Caresquare.com will use a third party service to process your credit card information - Wells Fargo and Authorize.net For further information regarding that service, please - contact Wells Fargo and Authorize.net.

Information Provided by Users
Users are responsible for providing accurate, timely and complete information to Caresquare.com in connection with their registration for and use of the Site. Caresquare.com is not responsible for any claims relating to any inaccurate, untimely or incomplete information. Any misstatements and/or misrepresentations regarding your identity, age, background, experience and/or eligibility for employment in the jurisdiction of the United States is not the responsibility of Caresquare.com. Caresquare.com does hereby disclaim any liability whatsoever for any misstatements and/or misrepresentations made by any Users of this Site, as set forth in the General Release below.

You represent and warrant that you are the owner or a licensee or otherwise have the right to provide any information or materials (including pre-existing materials) that you post or transmit for use in Community Areas on the Site. Users hereby grant Caresquare.com an irrevocable, royalty-free, perpetual, non-exclusive, sublicensable, worldwide license to use, copy, display, modify, edit, create derivative works from and distribute any information or materials they post in Community Areas. Caresquare.com reserves the right to moderate the Community Areas on the Site and the information posted there, however, the foregoing does not impose on Caresquare.com, and Caresquare.com does not assume, any obligation to monitor or remove any data, posts, other information or communication submitted by you or any other User. By using the Site, you hereby acknowledge and agree that you may be exposed to content that is offensive, indecent or objectionable to you. Your access to the Site and Services is undertaken at your own risk and Caresquare.com is not responsible for any offensive or otherwise objectionable materials. Any submissions to Community Areas will be public, and Caresquare.com will not be responsible for the action of other Users with respect to any information or materials posted in Community Areas.

All information (or any items or contents listed therein): (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent or involve the sale of counterfeit or stolen items; (c) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary right or rights of publicity or privacy; (d) shall not violate any law, statute, ordinance, or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) shall not be obscene or contain child pornography or, if otherwise adult in nature and harmful to minors; (g) shall not contain any viruses, Trojan Horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) shall not create liability for Caresquare.com or cause Caresquare.com to lose (in whole or in part) the services of its ISPs or other partners or suppliers.

Intellectual Property Rights
All text, graphics, editorial content, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces and other content (collectively "Proprietary Material") that users see or read on the Site is owned by Caresquare Inc. or is used with permission. This Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. Caresquare.com owns or has the right to use all Proprietary Material. Users may not copy, download, use redesign, reconfigure, or retransmit anything from the Caresquare.com Site without Caresquare.com's prior express written permission. Violation of this policy may result in copyright, trademark or other intellectual property rights violations, and subject Users termination from the use of this Site or civil or criminal penalties. In addition, the Site contains material protected by the domestic and international laws of copyright, patents and other proprietary rights and laws. Any use of such Proprietary Material, other than as permitted by Caresquare.com, is expressly prohibited without the prior permission of Caresquare.com and/or the relevant right holder. Caresquare.com grants you a nonexclusive, revocable, non-transferable, limited license to use the Site provided that you use such Site in accordance with the Terms of Use and that you do not (i) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form.

The service marks and trademarks “CARESQUARE.COM” and the Caresquare.com logo are service marks owned by Caresquare.com. Any other trademarks, service marks, logos and/or trade names appearing on the Site are the property of their respective owners. You acknowledge the rights of Caresquare.com and the respective third parties in those marks. You may not copy or use any of these marks, logos or trade names without the prior written permission of the owner as expressly allowed by these Terms of Use.

Privacy
Caresquare.com's Privacy Statement located on its Site (as seen below) as modified by Caresquare.com from time to time shall govern any disclosure or use of User‣s personal information.

No Agency
You and Caresquare.com are not legally affiliated in any way by virtue of your membership or usage of Caresquare.com's Site or intellectual property other than as parties to the contract embodied in these Terms of Use and no independent contractor, agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by these Terms of Use. Caresquare.com is not an employment service and does not serve as an employer of the Care Providers that may use this Site.

Disclaimer of Warranties
USER EXPRESSLY AGREES THAT THE USE OF THIS SITE IS AT THE USER‣S SOLE RISK. NEITHER CARESQUARE.COM NOR ITS AFFILIATES OR LICENSORS WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION; THE SUITABILITY, RELIABILITY, SAFETY, OR APPROPIRATENESS OF ANY SERVICE OFFERED THROUGH, OR PROVIDED BY, THIS SITE; OR THE MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR USE OF ANY MERCHANDISE PROVIDED THROUGH THE SITE UNLESS SUCH MERCHANDISE IS COVERED BY AN EXPRESS WARRANTY IN WRITING PROVIDED AT THE TIME OF SALES. Genereal Release from Liability
You as a User do hereby represent, understand, and expressly agree that none of Caresquare.com and its principals, owners, investors, officers, directors, employees, agents, licensors, licensees, independent contractors, attorneys, subsidiaries, affiliates, successors and assigns has, exercises or purports to exercise control over (1) the quality, timing, legality, standard of care, or any other aspect whatsoever of the services actually delivered by, or of any actions or failures to act of, any Care Provider; or (2) the integrity, solvency, responsibility, or any actions or failures to act of any Care Seeker.

By utilizing any portion of this Site or services provided by Caresquare.com, you on behalf of yourself, your spouse or domestic partner, and your minor children and any children entrusted to your care ("You" or "Your") hereby release Caresquare.com and its principals, owners, investors, officers, directors, employees, agents, licensors, licensees, independent contractors, subsidiaries, affiliates, successors and assigns ("Releasees") from any and all claims, demands, actions, causes of action, suits, liabilities, costs, damages (whether actual, compensatory, consequential, general, special, incidental, direct, indirect, exemplary, punitive and/or otherwise defined), costs, compensation, penalties, claims for attorneys' fees, and obligations of any kind or nature whatsoever, that, but for this General Release, You may have had, now have, or may have in the future against any of the Releasees, whether known or unknown, direct or consequential, foreseen or unforeseen, matured or unmatured, developed or undeveloped, manifested or not manifested, fixed or contingent, joint or several, that result from, involve, arise from, or relate in any way to, utilization by You of any portion of this Site or any services provided by Caresquare.com (the "Released Claims"). You expressly agree and acknowledge that "Released Claims" include but are not limited to: (1) any disputes that may arise between You and any other Users; (2) the exercise by Caresquare.com of its right to revoke or suspend the privilege of any User, including You, to use this Site; (3) the use by You of any linked web sites that may appear on this Site; (4) destruction, deletion, inaccurate reproduction, interception, misappropriation, or unauthorized use by any third party of any information provided by You, including without limitation personal and credit card information; (5) any information provided by, and any misstatements, misrepresentations, or statements made by, any User of this Site, including You; (6) any actions or inactions by any User of this Site; (7) Your inability to use this Site; (8) any breach of any warranty claimed to apply to Your use of this Site or any service or merchandise provided by Caresquare.com (except insofar as an express warranty is given in writing with respect to specific merchandise at the time of sale). By utilizing any portion of this Site, or services by Caresquare.com, you, on behalf of your spouse or domestic partner ("You" or "Your"), hereby agree to indemnify and hold harmless Carequare.com and its principals, owners, investors, officers, directors, employees, agents, licensors, licensees, independent contractors, attorneys, subsidiaries, affiliates, successors, and assigns ("Indemnitees") from and against any and all claims, demands, actions, causes of action, suits, liabilities, costs, damages (whether actual, compensatory, consequential, general, special, incidental, direct, indirect, exemplary, and/or punitive), actions, causes of action, suits, costs, compensation, penalties, claims for attorneys' fees, defense costs (including attorneys' fees), and obligations of any kind or nature whatsoever that may or would otherwise be incurred by Indemnitees in connection with any demand, claim, suit, cause of action, or other assertion by any third party that results from, involves, arises from, or relates in any way to: (1) any information, materials, statements, items and/or content that You submit, post or transmit, directly or through a third party, to or through this Site; (2) any services that You perform for another User; (3) any dispute between You and another User; (4) any actions or inactions that You take with respect to any other User; (5) the use of any account You create on this Site by You or any third party; (6) any actions or inactions You take that relate in any way to this Site or services provided by Caresquare.com and that violate or are alleged to violate any applicable law; and (7) Your use of this Site, any services provided by Caresquare.com, and/or any linked websites that may appear on this Site in violation of these Terms of Use or any applicable law. You agree to assume, at Your sole expense and risk, the defense of any matter tendered to You hereunder by any Indemnified Party. Caresquare.com reserves the right, to assume, at your cost, the exclusive control of the defense of any matter subject to indemnification hereunder. You agree that You will cooperate as reasonably necessary in the defense of all such matters. You agree that You will not settle any claim or matter subject to indemnification hereunder without the written consent of Caresquare.com.

Limitation of Liability

NEITHER CARESQUARE.COM NOR ANY OF ITS PARTNERS, AGENTS, AFFILIATES, THIRD PARTY SERVICE PROVIDERS OR CONTENT PROVIDERS SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR MORE THAN THE TOTAL AMOUNT, IF ANY, THAT YOU HAVE PAID TO CARESQUARE PURSUANT TO THESE TERMS OF USE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Term and Termination
These Terms of Use commence upon the date you first use the Site and/or the services and continue until terminated. You may terminate these Terms of Use at any time with cause or with no cause, effective immediately upon notice to Caresquare.com. Caresquare.com may terminate these Terms of Use and your access to the Site and services with cause or without cause, effective immediately upon written notice to you. Upon termination you shall immediately cease to access the Site and cease the use of any data, information or content obtained through your use of the Site.

Arbitration
Any controversy or claim arising out of or relating to these Terms of Use or our services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in San Francisco, California and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Caresquare.com may seek any interim or preliminary relief from a court of competent jurisdiction in San Francisco, California, necessary to protect the rights of property for you or Caresquare.com pending the completion of arbitration.

Waiver
Failure by Caresquare.com to enforce any provision(s) of this Terms of Use shall not be construed as a waiver of any provision or right.

Severability
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining Terms of Use shall remain in full force and effect.

Notices
Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail.

Governing Law
These Terms of Use shall be interpreted in accordance with the laws of the State of California (excluding any rules governing choice of laws) and any legal proceeding arising out of these Terms of Use will occur in San Francisco, California.

Successors and Assigns
These Terms of Use will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto.

We collect visitor‣s unique identifiers (like their social security number) and financial information (like their account or credit card numbers).

This Site may make chat rooms, forums, message boards, and/or news groups available to its users. Please remember that any information that is disclosed in these areas becomes public information and you should exercise caution when deciding to disclose your personal information.
